What this app is, what it is not, and what we each agree to.

Agreement to these terms
These Terms of Use are a binding agreement between you and Vero Dawn Holdings LLC ("Vero Dawn", "we", "us"), which operates this app (the "Service"). By creating an account or using the Service, you agree to them and to our Privacy Policy. If you do not agree, do not use the Service.
Eligibility and access
You must be 18 or older and a US resident to use the Service. Access is offered on a controlled basis, whether you were invited or reached the Service through a direct link. Having a link or an invitation does not grant you any rights beyond these terms, and we may limit, suspend, or withdraw access at our discretion.
What the Service is, and your license to use it
The Service helps you understand health information, prepare for medical appointments, and organize information you enter about yourself or a person you care for. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial purposes, subject to these terms.
Information you enter, and your authority to enter it
You are responsible for the information you enter and for how you use the Service. If you enter information about another person, you represent and warrant that you have the legal right and authority to do so, whether as their family caregiver, at their request, or as their legal representative, and that you will stop if they ask you to. We have no way to verify this and rely on your representation.
The information you enter stays yours. You grant us a limited license to host, store, and process it solely to provide and maintain the Service, as described in the Privacy Policy.
Not medical advice
The Service, including all content and all responses generated by artificial intelligence, is for general informational and educational purposes only. It is not medical, clinical, or professional advice, and using it does not create a provider-patient or other professional relationship.
Our full Disclaimer is incorporated into these terms by reference. You are responsible for your own and your loved one's care decisions, made with a qualified professional.
Not for emergencies
The Service is not for emergencies. If someone may be in danger or having a medical crisis, call 911 or go to the nearest emergency room. If someone may be considering self-harm, call or text the 988 Suicide and Crisis Lifeline. Do not wait on the app.
Prohibited conduct
You agree not to use the Service to break the law; to access or attempt to access another person's account or information; to enter another person's information without the right to do so; to interfere with, overload, or disrupt the Service; to copy, scrape, reverse engineer, or create derivative works from it; or to resell or commercially exploit it. We may suspend or terminate an account that engages in prohibited conduct.
Assumption of risk
You understand that the Service provides health-related information generated in part by artificial intelligence, that this information can be incomplete or incorrect, and that you use the Service and rely on any of its content entirely at your own risk.
Disclaimer of warranties
To the fullest extent permitted by law, the Service and all content are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error free, or that any information it provides is accurate, current, or complete.
Limitation of liability
To the maximum extent permitted by law, Vero Dawn Holdings LLC and its members, managers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss arising from your use of or reliance on the Service or its AI-generated content, or from any health or medical decision made in connection with the Service, even if advised such harm was possible.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars.
Some states do not allow certain of these limits, so parts of this section may not apply to you. Where a limit is not allowed, our liability is limited to the smallest amount the law permits.
Indemnification
You agree to indemnify, defend, and hold harmless Vero Dawn Holdings LLC from any claim, loss, or demand, including reasonable legal fees, arising out of your use or misuse of the Service, your violation of these terms, or your entry of another person's information without the right to do so.
Paying
Founding members pay $39 a month. You enter a card when you join and you are not charged for the first 30 days. On day 31 the first payment is taken automatically, and it recurs monthly after that until you cancel.
Your $39 does not rise while you stay. If the price goes up for people who join later, it does not go up for you.
You can cancel at any time, from your account. Cancelling during your first 30 days still leaves you the whole 30, and you are not charged. Cancelling later leaves you the time you have already paid for, and there is no further charge after that.
If a payment fails we do not close your account that day. Your card is retried for a while first, and you keep full use of the app throughout.
If your account does end, whether you cancelled or a payment never went through, nothing you entered is deleted. You can still sign in, read everything, and download all of it. What stops is adding to it, changing it, and asking Clara.
Some accounts were given a free period instead of a subscription. Where that is so, the date it ends is shown on your account screen, and you are told before it does.
If you are unhappy in your first thirty days after a payment, write to us and ask for that payment back, and we will return it.
Term and termination
You may stop using the Service and close your account at any time from the account screen, which permanently erases your account and its records and cancels any subscription.
We may suspend or terminate your access if you breach these terms or to protect the Service or its users. If we discontinue the Service, we will provide notice and a reasonable opportunity to export your information.
Sections that by their nature should survive termination, including disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
Governing law and dispute resolution
These terms are governed by the laws of the State of North Carolina, where the app is operated, without regard to conflict-of-laws rules.
Before filing any claim, you agree to first contact us at hello@verodawn.co and to try to resolve it informally for at least 30 days. Any claim that is not resolved that way will be brought only in the state or federal courts located in North Carolina, and you and Vero Dawn consent to the jurisdiction of those courts.
Changes to these terms
We may update these terms as the Service develops. Material changes will be communicated to you by email to your account address or with a notice in the app. Your continued use of the Service after a change takes effect means you accept the updated terms.
General
If any provision of these terms is held unenforceable, the remaining provisions stay in effect. These terms, with the Privacy Policy, Disclaimer, and AI Usage Policy, are the entire agreement between you and Vero Dawn regarding the Service.
You may not assign these terms; we may assign them to an affiliate or successor. Our failure to enforce a provision is not a waiver of it. We are not liable for delays or failures caused by events beyond our reasonable control.
